This Universal Terms of Service Agreement ("Agreement") is entered into by and between NTX Labs LLC ("Nithrox," "we," "us," or "our") and you ("Customer," "you," or "your"). This Agreement outlines the terms and conditions governing your use of Nithrox's services, including Hosting, Domains, and Website Design, available through nithrox.com.
1. AGREEMENT TO BE BOUND
By accessing or using our services, you confirm that you have read, understood, and agree to be bound by this Agreement and our Privacy Policy. If you do not agree, you must not use our services.
2. ELIGIBILITYYou must be at least 18 years old or the legal age of majority in your jurisdiction to use our services. By using our services, you represent and warrant that you meet this requirement.
3. SERVICES OFFERED
3.1 Hosting Services
Nithrox provides web hosting solutions as described on nithrox.com/servers. Annual hosting plans include a free domain registration valued up to $12.99 and a 1-month free trial.
3.2 Domain Registration
Domains are offered as described on nithrox.com/domains and are subject to availability and applicable registry rules. You are responsible for ensuring compliance with all domain-related regulations.
3.3 Website Design Services
Nithrox offers website design through a Pay-in-4 phased payment model, detailed on nithrox.com/websites. Progression through each phase requires completed payments. Project timelines are contingent on timely approvals and payments.
4. PAYMENT TERMS
Payments must be made according to the selected service plan. Hosting services include a 30-day money-back guarantee (excluding domain fees). Website design payments are non-refundable after each phase is completed. All payments must be made in U.S. dollars.
5. CANCELLATION AND REFUNDS
You may cancel hosting services within 30 days for a full refund, excluding domain fees. Domain purchases are non-refundable. Website design fees are non-refundable once a phase is completed. Nithrox reserves the right to suspend or terminate services for non-payment or breach of this Agreement.
6. USER RESPONSIBILITIES
Users must:Provide accurate and updated information.Use services in compliance with all applicable laws.Avoid engaging in abusive, harmful, or illegal activities.Maintain the security of account credentials and notify Nithrox of any unauthorized access.
7. ACCEPTABLE USE POLICY
Users are prohibited from:Engaging in spamming, phishing, or distributing malware.Hosting or distributing illegal content.Violating the intellectual property rights of others.Using Nithrox services for any fraudulent activities.
8. INTELLECTUAL PROPERTY
All content, trademarks, and intellectual property on Nithrox's website and services remain the property of NTX Labs LLC. Unauthorized use, reproduction, or distribution of any content is strictly prohibited.
9. DISCLAIMER OF WARRANTIES
Nithrox provides services "as is" and makes no warranties, express or implied, regarding performance, reliability, or availability. We do not guarantee uninterrupted or error-free services.
10. LIMITATION OF LIABILITY
Nithrox is not liable for indirect, incidental, or consequential damages, including loss of data or profits. Our total liability is limited to fees paid by you in the last 12 months.
11. PRIVACY POLICY
Nithrox collects and processes personal data in accordance with applicable U.S. laws. Please review our Privacy Policy for details on how we manage your data.
12. MODIFICATIONS TO SERVICES
Nithrox reserves the right to modify, suspend, or discontinue services at any time. Continued use of services after changes constitutes acceptance of the revised terms.
13. THIRD-PARTY SERVICES
Nithrox may offer services integrated with third-party tools or platforms. We are not responsible for the availability or performance of these third-party services.
14. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless Nithrox, its affiliates, and employees from any claims, damages, or liabilities arising out of your use of the services, violation of this Agreement, or infringement of any third-party rights.
15. GOVERNING LAW
This Agreement is governed by and construed in accordance with the laws of the State of New York, USA. Disputes shall be resolved exclusively in the courts of New York, NY.
